Terms of service
Private beta version, being finalized · Last updated 26 October 2026
The short version
- You must be an adult living in the United States or Canada.
- You decide who Smitline calls and what it says. You are the caller, and you must follow the laws that apply to your calls.
- No marketing, robocalls, harassment, impersonation, scams, or recording without the consent the law requires.
- Smitline is AI. It can make mistakes, and it is not an emergency service.
- Credit is prepaid, in US dollars, and not refundable except where the law requires it or as these terms say.
This summary helps you read the terms. It isn’t part of them.
1. This agreement
These terms are an agreement between you and [LEGAL NAME], operating as Kaelor Labs, a corporation under the laws of Canada (“Kaelor Labs”, “we”, “us”). They cover Smitline Cloud: this website, the dashboard, the MCP server and API, the phone numbers we provide, and the calls and meetings Smitline handles for you (together, the “Service”).
By creating an account or using the Service, you accept these terms and our privacy notice. If you use the Service for a business or other organization, you accept these terms for it as well, and you confirm you are allowed to do so.
2. Who can use Smitline
You may use the Service only if:
- you are at least 18 years old and have reached the age of majority where you live;
- you live in the United States or Canada;
- you are not barred from using it by law, and we have not closed an earlier account of yours for breaking these terms.
Each account is for one person. The information you give us must be accurate, and the phone number you verify must be yours.
3. Your account
You sign in with a link we email to you, so keep your email account secure. API keys and the AI agents you connect (for example Claude or ChatGPT) act as you: anything they do through your account is done by you. You are responsible for all activity through your account, your keys and your connected agents.
Tell us at [email protected] straight away if you think someone else has access. You can revoke keys and connected apps from the dashboard.
4. What Smitline does, and doesn’t
Smitline uses AI to place phone calls and join video meetings on your behalf, following the instructions you or your AI agent give it. It speaks for you by the name you set, tells the people it talks to that it is an AI assistant, and reports back with a transcript and a summary.
AI makes mistakes. Smitline can mishear, misunderstand, say something inaccurate, fail to finish a task, or summarize a conversation wrongly. Check anything important yourself. Don’t rely on it for medical, legal, financial or safety decisions.
Not an emergency service. Smitline can’t call 911, 988 or any other emergency or crisis number, and it doesn’t replace a phone line. In an emergency, call for help yourself.
Smitline calls phone numbers in the United States and Canada only, and it can’t navigate phone menus that need keypad presses. We may change, add or remove features, limits and supported meeting platforms. We aim to keep the Service available, but we don’t promise it will be uninterrupted or error-free.
5. You are the caller
You decide whom Smitline calls or meets, why, and what it may say and agree to. Smitline acts as your assistant, and you are responsible for every call and meeting it handles for you, as if you had made the call or attended yourself. In particular:
- Calling laws. You follow the laws that apply to your calls. In the US, these include the Telephone Consumer Protection Act and state laws. In Canada, they include the CRTC’s Unsolicited Telecommunications Rules. Calls made with an AI voice may need the called person’s prior consent. Get it wherever the law requires.
- Recording and transcription. Smitline transcribes every call and meeting, and records a call’s audio only when you ask. Some places require everyone in a conversation to consent to recording or transcription. You are responsible for getting any consent the law requires.
- Meetings. Bring Smitline only into meetings you are allowed to attend and allowed to bring an assistant to. Make sure the participants know an AI assistant is present and taking notes.
- Other people’s information. You may give Smitline information about other people, for example in a brief, your profile or your contacts. You confirm you have the right to share it, and that it is needed for the task.
- Do-not-call requests. If someone asks not to be called again, don’t call them again through Smitline, and don’t remove their number from your do-not-call list.
Our calling rules explain this section and the next in plain words.
Safety checks run on every call: calling hours, emergency and premium-rate number blocking, and repeat-call limits. They help, but they don’t make a call lawful. You remain responsible.
6. Acceptable use
You may not use the Service, or let anyone else use it, to:
- make marketing, sales, telemarketing, fundraising, political, polling or lead-generation calls, or collect debts;
- make robocalls or bulk calls, or call lists of numbers;
- harass, threaten, stalk, intimidate or repeatedly call anyone, or call someone who has asked not to be called;
- impersonate any person, business or government body, claim that Smitline is a human, hide on whose behalf a call is made, or imitate another person’s voice;
- commit fraud or run scams or phishing, or obtain information, access or money under false pretences;
- record, transcribe or monitor anyone without the consent the law requires, or join a meeting you aren’t allowed to attend;
- contact emergency services or crisis lines, or tie up any line meant for emergencies or health care;
- target or exploit children, or do anything else illegal, hateful, sexually exploitative or violent;
- spoof caller ID, or use a Smitline number to receive verification codes for other services;
- get around the Service’s limits or safety checks, test or probe its security without our written permission, overload it, or resell or share access to it without our written agreement.
We may refuse, stop or end any call or meeting, block numbers, and suspend accounts, at any time, when we believe a use breaks these terms or the law or puts people at risk. We may review the content of calls and meetings to investigate abuse, and we may cooperate with phone carriers, platforms and authorities.
7. Wallet, prices and payment
Prepaid credit. You pay for the Service in advance by adding credit to your wallet in US dollars. Payments are processed by Stripe; we never receive your full card number. Each top-up has a minimum and a maximum, shown when you add credit.
Prices. Calls and meetings are charged per second at the prices on our website and in the dashboard when the call or meeting takes place. A phone call is charged from the moment it connects. Ringing, busy and unanswered calls are free. Calls to your dedicated number are charged too. We may change prices; changes apply to calls and meetings after the change takes effect, and we’ll give at least 14 days’ notice of any increase.
Holds and negative balances. When a call or meeting starts, we hold enough credit for its maximum length, and release what isn’t used. If a call runs past the hold, or a payment is refunded or reversed, your balance can go below zero. You agree to pay any negative balance, and we may take it from your next top-up.
Auto-reload. If you turn on auto-reload, you authorize us to charge your saved card the amount you chose each time your balance falls below the threshold you set, until you turn it off. If a charge is declined, auto-reload turns off.
Credit is not money. Credit can be used only for the Service. It has no cash value, earns no interest, is not a deposit, and can’t be transferred or sold. Paid credit doesn’t expire while your account is open. Promotional credit has no value outside the Service and may expire.
Refunds. Credit is non-refundable, except:
- where the law requires a refund;
- if we charged you by mistake;
- if we close your account for a reason other than a breach of these terms, or stop offering the Service. We then refund your unused paid credit;
- if you close your account because of a change to these terms that you don’t accept (section 17). We then refund your unused paid credit.
Taxes. Prices don’t include taxes. Where we must collect sales tax, GST/HST, QST or similar taxes, we’ll add them to your payment.
Billing problems and chargebacks. Tell us about a billing error within 60 days of the charge, and we’ll look into it. Please contact us before disputing a charge with your bank. If a payment is disputed or reversed, we may suspend your account while it is resolved.
8. Phone numbers
If you get a dedicated number, it is assigned to you for use with the Service while you keep paying for it. You don’t own it. We can’t transfer (port) it to another provider for you. The monthly fee is charged from your wallet every 30 days and isn’t refunded for a part-used period. If a fee can’t be paid, we email you; if it is still unpaid 7 days later, the number is released. A released number can be assigned to someone else, who may then receive calls meant for you. We may change a number if our phone carrier requires it.
Without a dedicated number, your calls show a shared Smitline number. Calls back to it are not answered on your behalf.
9. Your content
“Your content” means what you or your agents give the Service (briefs, context, your profile and contacts, notes) and what it produces for you (transcripts, summaries, results and any recordings you ask for). You own your content. You give us permission to host, copy, process and transmit it, and to share it with the service providers in our privacy notice. We use it only to provide, secure and support the Service, to enforce these terms, and as the law requires.
We don’t sell your content and don’t use it to train AI models. Keep your own copy of anything you need. We delete content as our privacy notice describes.
If you send us feedback or ideas, we may use them freely, without paying you.
10. Other companies’ services
Smitline relies on other companies to work. These include OpenAI for speech and language, SignalWire for phone calls, Stripe for payments, and the meeting platforms it joins. Your AI agent (for example Claude or ChatGPT) is provided by another company under its own terms. We aren’t responsible for other companies’ services or their outages. A meeting platform or phone carrier may block or limit calls or meetings at any time.
11. Open source and our brand
The engine behind Smitline is open source under the Apache License 2.0, at github.com/kaelorlabs/smitline (opens in a new tab). That license, not these terms, governs your use of that code. These terms govern the hosted Service. Nothing in them limits your rights under the open-source license.
“Smitline”, “Kaelor Labs” and our logos are our trademarks. You may not use them in a way that suggests we endorse you.
12. Suspension and closing your account
You may stop using the Service at any time. To close your account, email [email protected] from the address you sign in with.
We may suspend or close your account, immediately and without notice where needed, in any of these cases:
- you break these terms;
- a payment fails or is disputed;
- a carrier, platform or authority complains about or asks us to stop your use;
- we must do so by law;
- your use creates a risk for other people, us or the Service.
We may also close accounts that have been inactive for 24 months, after emailing you 30 days ahead.
When an account is closed:
- access ends;
- any dedicated number is released;
- unused credit is handled as section 7 says;
- your data is deleted as our privacy notice describes.
Sections 5 to 7, 9, and 13 to 18 continue to apply after your account closes.
13. Disclaimers
To the extent the law allows, the Service is provided “as is” and “as available”. We make no promises about it beyond those in these terms, and disclaim all implied warranties and conditions, including of merchantability, fitness for a particular purpose, and non-infringement. In particular:
- we don’t promise that a call or meeting will reach anyone or achieve what you wanted;
- we don’t promise that anything the AI says, transcribes or summarizes will be accurate or complete.
Some places don’t allow these disclaimers for consumers. Where that’s the case, they apply only as far as the law allows.
14. Limits on our liability
To the extent the law allows, Kaelor Labs, its directors, employees and suppliers won’t be liable for:
- indirect, incidental, special, consequential, exemplary or punitive damages;
- lost profits, revenue, data, opportunities or goodwill;
- anything said or agreed on a call or in a meeting, or the outcome of a call or meeting.
To the extent the law allows, our total liability for all claims about the Service is limited to the greater of:
- the amount you paid us in the 12 months before the event that gave rise to the claim;
- US$100.
These limits don’t apply to liability the law doesn’t allow us to limit, such as for our gross negligence or intentional misconduct. They don’t take away any rights that consumer protection laws give you.
15. Your responsibility for claims
To the extent the law allows, you will defend Kaelor Labs, its directors and employees against any claim by someone else, and pay the resulting losses, costs and reasonable legal fees, if the claim arises from:
- calls or meetings made for you;
- your content or instructions;
- your breach of these terms;
- your breach of any law, such as a claim by a person you called.
We’ll tell you about the claim and may take part in the defence with our own lawyers.
16. Disputes
Talk to us first. Most problems can be solved quickly. Before starting any claim, email [email protected] describing the issue and what you want. Give us 30 days to try to resolve it.
If you live in Canada, these terms are governed by the laws of [PROVINCE] and the federal laws of Canada that apply there. Disputes go to the courts of [PROVINCE], unless the law where you live lets you bring them in your own province’s courts. Nothing in these terms limits rights you have under your province’s consumer protection laws, including Quebec’s Consumer Protection Act.
If you live in the United States, these terms are governed by the laws of [PROVINCE] and the federal laws of Canada that apply there. The Federal Arbitration Act governs this arbitration agreement:
- Arbitration. You and Kaelor Labs agree to resolve any dispute about the Service or these terms by final, binding arbitration on an individual basis. The American Arbitration Association runs it under its Consumer Arbitration Rules. The hearing is by video, or in the county where you live. We pay the filing, administration and arbitrator fees those rules require businesses to pay.
- What’s excluded. Either of us may instead bring an individual claim in small claims court. Either of us may also go to court to protect intellectual property or to stop misuse of the Service.
- No class actions. You and Kaelor Labs each give up the right to a jury trial, and to bring or take part in a class, collective or representative action.
- Opting out. You can opt out of arbitration within 30 days of first accepting these terms. Email [email protected] from your account address with the subject “Arbitration opt-out”.
If the class-action waiver can’t be enforced for a claim, that claim goes to court, not arbitration.
Time limit. Where the law allows, a claim must be brought within one year after it arises.
17. Changes to these terms
We may update these terms. If a change is material, we’ll email you at least 30 days before it takes effect. The notice will describe the change. If you don’t accept a change, you can close your account before it takes effect, and we’ll refund your unused paid credit. If you keep using the Service after a change takes effect, you accept the updated terms.
18. General
- Whole agreement. These terms, the privacy notice and the prices shown in the Service are the whole agreement between you and us about the Service.
- Severability. If a part of these terms can’t be enforced, the rest still applies.
- No waiver. If we don’t enforce a term straight away, we can still enforce it later.
- Transfer. You may not transfer this agreement. We may transfer it as part of a merger, acquisition or sale of assets, and we’ll tell you if we do.
- Events outside our control. We aren’t responsible for delays or failures caused by events outside our reasonable control.
- Notices. We send notices to the email address on your account. You send notices to [email protected], or by mail to [ADDRESS].
- Sanctions. You may not use the Service if you are subject to Canadian or US sanctions.
- Language. [Language clause and French version for Quebec: to be settled with counsel.]
